1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Fabio Camilli, a sole trader based in the United Kingdom, trading as "ScartoFlow" ("we," "us," or "our") governing your access to and use of the ScartoFlow website, platform, and services (collectively, the "Service").

ScartoFlow is a B2B SaaS platform that connects small and medium enterprises (SMEs) with waste management service providers. Our Service includes:

• An online platform for submitting waste management service requests
• Matching services to connect businesses with qualified waste management providers
• Facilitation of quote generation and provider communication
• Administrative tools for managing requests and provider information

We act as an intermediary platform and do not provide waste management services directly. We facilitate connections between businesses and third-party service providers.

3. Eligibility and Account Requirements

To use our Service, you must:

• Be at least 18 years of age or the age of majority in your jurisdiction
• Have the legal capacity to enter into binding contracts
• Provide accurate, current, and complete information when submitting requests
• Maintain the security of any account credentials (for admin access)
• Be authorized to represent the business for which you are submitting information

You are responsible for maintaining the confidentiality of any account credentials and for all activities that occur under your account.

4. User Obligations

You agree to:

• Provide accurate, truthful, and complete information in all forms and communications
• Use the Service only for lawful purposes and in accordance with these Terms
• Not submit false, misleading, or fraudulent information
• Not attempt to gain unauthorized access to any part of the Service or related systems

6. Matching and Provider Services

6.1 Matching Process: We use the information you provide to match you with potential waste management providers. Matching is based on factors such as location, waste types, business size, and service requirements. We do not guarantee that you will receive quotes or that any provider will accept your request.

6.2 Third-Party Providers: Waste management services are provided by independent third-party providers, not by ScartoFlow. We are not responsible for:

• The quality, pricing, or terms of services offered by providers
• Provider performance, reliability, or compliance with regulations
• Any disputes between you and a provider
• Contracts or agreements entered into between you and providers

6.3 No Endorsement: Our matching service does not constitute an endorsement, recommendation, or guarantee of any provider. You are responsible for evaluating providers and their services independently.

7. Intellectual Property

7.1 Our Content: The Service, including its design, text, graphics, logos, software, and other content, is owned by ScartoFlow or its licensors and is protected by copyright, trademark, and other intellectual property laws.

7.2 Limited License: We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for its intended purpose. You may not:

• Copy, modify, or create derivative works of the Service
• Reverse engineer, decompile, or disassemble any part of the Service
• Remove or alter any copyright, trademark, or proprietary notices
• Use the Service for any commercial purpose other than as expressly permitted

7.3 User Content: By submitting information through our Service, you grant us a non-exclusive, worldwide, royalty-free license to use, process, and share that information as necessary to provide the Service and facilitate matching with providers.

9. Fees and Payment

9.1 Free Service: Our matching service is currently provided free of charge to SMEs. We reserve the right to introduce fees or premium features in the future, with advance notice.

9.2 Provider Fees: Any fees charged by waste management providers are separate from our Service. You are responsible for all costs associated with services provided by third-party providers.

9.3 Future Changes: If we introduce paid features, we will provide clear pricing information and obtain your consent before charging any fees.

10. Disclaimers

10.1 Service "As Is": The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to:

• Warranties of merchantability, fitness for a particular purpose, or non-infringement
• Warranties that the Service will be uninterrupted, error-free, or secure
• Warranties regarding the accuracy, reliability, or completeness of information provided

10.2 No Guarantees: We do not guarantee:

• That you will receive quotes or matches from providers
• The quality, pricing, or suitability of provider services
• That providers will accept your requests or enter into contracts with you
• The accuracy of matching algorithms or recommendations

11. Limitation of Liability

To the maximum extent permitted by applicable law:

• ScartoFlow shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities
• Our total liability for any claims arising from or related to the Service shall not exceed the amount you paid to us (if any) in the 12 months preceding the claim, or €100, whichever is greater
• We are not liable for any damages resulting from your use of third-party provider services
• We are not liable for any unauthorized access to or alteration of your data due to factors beyond our reasonable control

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.

12. Indemnification

You agree to indemnify, defend, and hold harmless ScartoFlow, its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or relating to:

• Your use or misuse of the Service
• Your violation of these Terms
• Your violation of any rights of another party
• Any information you submit through the Service
• Your interactions with third-party providers

13. Termination

13.1 By You: You may stop using the Service at any time. You may also request deletion of your data by contacting us.

13.2 By Us: We reserve the right to suspend or terminate your access to the Service at any time, with or without notice, for any reason, including:

• Violation of these Terms
• Fraudulent or illegal activity
• Misuse of the Service
• At our sole discretion for any other reason

13.3 Effect of Termination: Upon termination, your right to use the Service will immediately cease. Provisions of these Terms that by their nature should survive termination shall survive, including intellectual property, disclaimers, limitations of liability, and indemnification.

14.2 Dispute Resolution: Any disputes arising out of or relating to these Terms or the Service shall be resolved as follows:

• Good Faith Negotiation: Parties agree to first attempt to resolve disputes through good faith negotiation
• Mediation: If negotiation fails, disputes may be submitted to mediation in accordance with applicable UK mediation rules
• Jurisdiction: If mediation is unsuccessful, disputes shall be subject to the exclusive jurisdiction of the courts of London, United Kingdom

14.3 Consumer Rights: If you are a consumer in the European Union, you may also be entitled to use the online dispute resolution platform provided by the European Commission at ec.europa.eu/consumers/odr. Additionally, EU consumer protection laws may apply regardless of the governing law specified above.

14.4 Sole Trader Liability: As a sole trader, I am personally liable for the operation of this Service. This means that legal claims may be made against me personally, rather than against a separate corporate entity.

15. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.

16. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and ScartoFlow regarding the Service and supersede all prior agreements, understandings, or communications.
